goods and services offered online through its Success ToolShop, and 2)
the ACD.
2.1. Accessing the listings
The listings are offered
to assist you in identifying coaches best suited for your particular
situation. You acknowledge that you are the ultimate judge of the
suitability of any coach's potential in relation to your requirements.
2.2. Disclaimer of warranties
You expressly understand
and agree that:
(a) Your use of the
information and service provided is at your sole risk.
(b)
The ACD makes no warranty that the quality of any products, services,
information, or any material purchased or obtained by you through your
using the ACD will meet your expectations.

are: 1) you, when you list your coaching practice with the ACD, and 2)
the ACD.
3.1. Mandate
The ACD seeks to feature
coaches of Asian descent who have the success of today's Asian at heart.
For such coaches, the ACD operates as an online marketing vehicle for
their talents. In doing so, the ACD adopts specific coaching service
standards that it makes explicit to any visitor to its website. This is
designed to give the prospective coaching client a clear sense of what
the minimum “coaching service deliverables” she or he may expect
from doing business with any one of the coaches as well as with the ACD
as a whole.
3.2. “Coaching Service Deliverables”
The “coaching service
deliverables” are currently articulated on the ACD’s home page under
the caption “Why choose an Asian Coach from our Asian Coaches
Directory?” – including any corresponding links and associated fine
print.
3.3. No Spamming
The ACD has a strictly
no spamming Privacy Policy
in place which is posted online for public perusal.
3.4. Your Obligations
(a) You agree to provide
true, accurate, complete and current information about yourself and your
coaching practice. If, at any time, the ACD has reasonable grounds to
suspect that such information is untrue, inaccurate, incomplete or not
current, the ACD has the right to suspend your listing privilege
indefinitely.
(b) You agree to uphold
the ACD’s philosophy and mandate, provisions in these Terms of Use, Privacy
Policy, as well as work within specified guidelines.
(c) You agree to honour
the ACD’s “coaching service deliverables.” These are meant to be
minimum standards and, of course, you have the discretion to provide
added value as you see fit.
(d) You agree not to
copy, duplicate, reproduce, sell, resell, or exploit for any commercial
purposes, any portion of this listing service, use of this listing
service, or access to this listing service.
(e) You agree not to
display or use in any manner the ACD’s motto, tagline and logo without
the ACD’s prior permission.
(f) You acknowledge that
your use of this listing service is at your sole risk in that the ACD
makes no warranty that this listing service will meet your expectations.
(g) You acknowledge that
the ACD has the sole discretion to suspend your listing privilege
indefinitely if the ACD believes that you have violated or acted
inconsistently with the letter or spirit of these Terms of Use.
Moreover, you agree that the ACD shall not be liable to you or any third
party for any termination of your listing privilege.
3.5. The ACD’s Obligations
(a) The ACD agrees to
provide each coach with an individual web page on its website, with
space for 400 words and one portrait photo for listing purposes.
(b) The ACD agrees to
provide a professional website to house the listing service. The ACD
makes no warranty that this online service will always be uninterrupted,
timely, secure or error-free.
(c) The ACD agrees to
allow listing coaches to refer themselves as Asian Coaches in the
context of promoting themselves in relation to their individual ACD
listing.
(d) The ACD agrees to
promote the site online and offline.
(e) The ACD agrees to
give due consideration to each coach’s marketing suggestion. The ACD
makes no warranty that each and every such suggestion will be
implemented.
(f) The ACD agrees to
circulate incoming requests for proposal among all coaches, unless there
are compelling reasons for not doing so.
(g) The ACD agrees to
forgo any claim to fees arising from coaching clients generated as a
result of association with the ACD.

are: 1) you, when you offer your "success tool" through the
ACD, and 2) the ACD.
4.1. Success ToolShop
The Success ToolShop is
an online storefront for the “success tools” that the ACD’s Asian
Coaches offer for the enhancement of the personal and professional
success of today’s Asian. The ACD collects the enrollment fees and
proceeds from other goods and services on behalf of the coaches, in
return for a 30% administration levy on these collected monies.
4.2. “Success Tools”
In the ACD’s context,
“success tools” refer to training, workshops, seminars, other
resources and programmes geared towards enhancing the business,
professional and personal success of today’s Asian.
4.3. Eligibility & Acceptability
Only Asian Coaches
listing with the ACD are eligible to make use of this storefront
service. Only success tools designed to inform, affirm and inspire today’s
Asian are acceptable. The ACD reserves the right at its sole discretion
to approve or discontinue any success tool for showcasing through the
Success ToolShop.
4.4. Your Obligations
(a) You agree to
subscribe to the ACD’s mandate as expressed through the establishment
of its Success ToolShop, and work within specified guidelines, upholding
the professional image of the ACD as a whole.
(b) You agree to a
status consistent with that of an independent retail merchant paying for
the online store space at a rate of 30% of the gross proceeds collected.
No other compensation is stated or implied.
(c) You agree to submit
proposals to success tools in writing 30 days in advance of start date.
(d) You agree to honour
any recommended pricing and promotional guidelines that may be
communicated to you.
(e) You agree to
discounted prices (not to exceed 20%) for members of Success ToolShop
and ThinkCaps.
(f) You agree that the
ACD has the right to offer, at its sole discretion, a variety of success
tools in each subject category.
(g) You agree to be
responsible for all the costs involved in delivering your success tools
to the end users.
(h) You agree to promote
your success tools additionally on your own outside of the ACD.
4.5. The ACD’s Obligations
(a) The ACD agrees to
provide a professionally functioning website to house the Success
ToolShop.
(b) The ACD agrees to
handle the collection of enrolment fees and proceeds from sale of goods
and services for all success tools with a price tag on them.
(c) The ACD agrees to
make payment to individual retailing coach 70% of all fees and proceeds
collected on a monthly basis where applicable.
(d) The ACD agrees to
offer special incentives to build up potential customer base.
(e) The ACD agrees to
provide all retailing coaches with space on the website to describe
their success tools.
(f) The ACD agrees to
forgo any claim on fees arising from individual coaching clients
generated through the Success ToolShop e-commerce activities.

5. Modifications
The ACD reserves the
right at any time and from time to time to modify these Terms of Use,
with or without notice. Likewise, the ACD also reserves the right to
modify or discontinue any of its services in whole or in parts, with or
without notice. You agree that the ACD shall not be liable to you or to
any third party for any modification, suspension or discontinuance of
